PRIVATE PARTNERS

AVA Ventures is built around a simple principle: the right property opportunity does not always require the same partners.

Some people may wish to participate financially. Others may bring valuable professional expertise, local knowledge, business experience or practical capability. Some may contribute both.

AVA brings these different strengths together around carefully selected Zanzibar property and development opportunities — while allowing each prospective partner to decide which projects interest them, how they wish to participate and when they are ready to become involved.

There is no obligation to participate simply because you are part of the AVA network.

01 - PARTNERSHIP BY CHOICE

Choose the opportunities that make sense for you

AVA is not intended to operate as a general pool into which partners contribute capital without knowing where it will ultimately be deployed.

Each prospective project is intended to be considered separately.

When an opportunity has been sufficiently assessed, relevant information can be presented privately to suitable prospective partners. Each person can then consider the opportunity and independently decide whether they wish to participate.

A partner may be interested in one project and not another.

They may participate today and decide to wait when the next opportunity appears.

Being part of the network creates access to consideration — not an obligation to participate.

02 - MORE THAN FINANCIAL PARTICIPATION

Capital is important. Capability can be equally valuable.

Property development and hospitality require far more than funding alone.

Depending on the project, AVA may require expertise in areas such as:

Property & Development  — property strategy, development, construction and project management. 

Architecture & Design — architecture, interiors, landscaping, engineering and specialist design.

Hospitality — hotels, restaurants, resorts, guest experience, food and beverage and operational management.

Finance & Commercial — financial modelling, accounting, business strategy, procurement and commercial management.

Legal & Professional — appropriate local and international professional expertise.

Marketing & Brand Development — branding, digital marketing, sales, positioning and communications.

Technology & Systems — reservations, property management, automation, security and operational technology.

A partner may therefore participate financially, professionally, practically — or through a combination of all three.

03 - ACCESS TO LARGER OPPORTUNITIES

Some opportunities are simply better pursued together

One of the reasons AVA Ventures was created is that some of Zanzibar's most compelling opportunities can require substantial capital.

A significant beachfront property, unfinished hotel, resort development or strategically positioned parcel of land may represent an attractive opportunity while requiring considerably more investment than one individual would reasonably wish to commit to a single project.

Collaboration can change what becomes achievable.

Rather than restricting the search to properties within one person's investment capacity, AVA can bring together suitable private partners when a larger opportunity deserves consideration.

This creates the potential to cherry-pick stronger opportunities based on their merits rather than simply their affordability to one individual.

04 - PROJECT-SPECIFIC PARTICIPATION

 

Your participation remains connected to the projects you choose

AVA may pursue several opportunities at the same time.

The intention is for projects to be appropriately structured so that each remains separately identifiable and accountable, subject to the legal, investment and regulatory requirements applicable in Zanzibar.

Funding, costs, property interests, income and project performance can therefore be accounted for at project level rather than unnecessarily combining unrelated opportunities.

This is important to the AVA philosophy.

Partners should participate in the economics of the projects they choose — not automatically in every project AVA undertakes.

The precise legal, ownership, voting, distribution and exit arrangements will be established for each project with appropriate professional advice before participation.

05 - AVA ON THE GROUND IN ZANZIBAR

 

Projects cannot be properly managed from a distance

AVA Ventures intends to establish Zanzibar as its first operational base, with AVA directors physically present on the island and actively involved in the development and oversight of projects.

This is an important part of the model.

An on-the-ground presence provides the ability to visit properties, meet owners and agents, develop local relationships, engage professionals and contractors, inspect work in progress and respond more quickly when issues or opportunities arise.

It also allows AVA to follow the market continuously rather than relying solely on properties advertised internationally or attempting to manage projects remotely.

For private partners who may live thousands of kilometres away, this provides an important practical advantage:

their project has representation on the ground.

06 - LOCAL PRESENCE. INTERNATIONAL NETWORK.

 

Combining proximity with broader capability

AVA's objective is not to replace local expertise.

It is to build relationships with reputable Zanzibar-based lawyers, accountants, architects, engineers, contractors, property professionals, hospitality operators and other specialists as projects require them.

AVA's private partner network can then add another layer of expertise and capability from outside Zanzibar.

The result can be particularly powerful:

local knowledge + on-the-ground oversight + international experience + private capital.

Each project can assemble the combination most appropriate to the opportunity.

07 - TRANSPARENCY & COMMUNICATION

 

Partners should be able to see what is happening

Physical presence in Zanzibar also allows AVA to provide partners with greater visibility as projects progress.

During active development, construction or renovation phases, AVA intends to provide regular project reporting, with weekly progress updates as a general objective and more frequent — including daily visual updates where practical — during significant stages.

Depending on the project, reporting may include:

  • photographs and video from the property; 
  • construction or renovation progress; 
  • project milestones; 
  • expenditure and financial reporting; 
  • issues encountered and actions being taken; 
  • important decisions requiring partner consideration; and 
  • progress against the agreed project strategy. 

A private partner should not have to wonder what is happening simply because they are not physically in Zanzibar.

Distance should not mean disconnection.

08 - A NETWORK WITH DIFFERENT LEVELS OF INVOLVEMENT

Participate in the way that suits you

Not every partner will want the same level of involvement.

Some may prefer a predominantly financial role and receive structured reporting while AVA and the appointed project team manage execution.

Others may want to contribute actively in an area where they have relevant expertise.

A hospitality professional might help develop the operating concept. An architect may contribute to design discussions. A marketing specialist could assist with positioning. An experienced entrepreneur may contribute commercial insight.

Where appropriate to the project, partners can therefore have the opportunity to contribute more than capital.

Passive where preferred. Active where valuable.

09 - PROTECTING THE PARTNERSHIP

Clear structures before capital is committed

Trust is important, but good partnerships should not depend on trust alone.

Before participation in a project, the intention is to establish appropriate agreements setting out matters such as the project structure, capital contributions, ownership or economic interests, responsibilities, decision-making, financial reporting, distributions, additional funding requirements and exit arrangements.

Property and lease rights, regulatory approvals and other material matters should also be appropriately investigated before a project proceeds.

Where required, independent legal, accounting, technical and other professional advisers will form part of that process.

Clarity at the beginning helps protect relationships throughout the project.

10 - CONFIDENTIALITY & SELECTIVE ACCESS

Good opportunities sometimes need to remain private

AVA does not intend to publish every property being considered on its public website.

An opportunity may lose part of its advantage if its location, owner, asking terms or circumstances are broadcast before AVA and prospective partners are ready to act.

Detailed information on selected opportunities may therefore be shared privately with appropriate prospective partners and, where necessary, subject to confidentiality arrangements.

The objective is not artificial exclusivity.

It is to protect commercially sensitive opportunities and the interests of the people considering them.

11 - ALIGNMENT AROUND PERFORMANCE

 AVA's project-specific approach is intended to create clear alignment between the property, the participating partners and the performance of that particular project.

Different projects may have different objectives. One might focus on renovation and repositioning. Another could involve completing an unfinished hotel. Another may involve development of appropriately secured land.

Consequently, there should not be a single formula imposed on every AVA opportunity.

The commercial structure should reflect the property, the capital required, the contribution of participating partners, the strategy and the objectives of that specific project.

WHAT PRIVATE PARTNERSHIP WITH AVA IS — AND IS NOT

AVA private partnership is intended to provide access, choice, collaboration, transparency and project-specific participation.

It does not mean that registering interest commits someone to invest.

It does not mean every prospective partner will be suitable for every opportunity.

It does not mean every property identified by AVA will become a project.

And it does not remove investment risk.

Property development, hospitality and emerging markets carry financial, legal, construction, operational and market risks. Every prospective partner should consider the information relating to a specific project and obtain appropriate independent professional advice before committing capital.

What AVA aims to provide is something different:

The ability to bring together the right opportunity, the right capital and the right capabilities — with people on the ground capable of helping turn a shared strategy into reality.
