Rights, approvals and structure
The rights offered, the authority of the parties, required permissions and enforceability of agreements must be examined for each transaction. Participation in a project must not be assumed to create a particular ownership or residence right.
Construction, cost and timing
Condition, scope changes, procurement, weather, contractor performance and approvals can affect cost and delivery. Partners should understand the contingency, change process and what happens if further funding is needed.
Demand and operations
Bookings, occupancy and pricing vary. Staffing, maintenance, utilities, distribution costs and management quality influence performance. Tourism growth at destination level does not predict the result of an individual property.
Currency, funding and cash flow
Contributions and expenditure may involve different currencies or payment arrangements. Exchange movements, funding delays and cash-flow gaps can change the project economics. These should be addressed in the budget and agreements.
Leasing, repairs and the end of the term
An operating lease can reduce the initial acquisition outlay while creating rent, repair, staffing and trading liabilities. Renovation spending may not be recovered if the lease ends early, a landlord defaults or a lender enforces security. Rent relief may be temporary or merely defer payment.
AVA will seek appropriate safeguards such as conditions before commitment, staged spending, verified consents, a defined rent formula, approval of works and agreed termination or transfer rights. Their availability and enforceability must be tested. Deposits, option payments and improvements can still be at risk. Understand the hotel-leasing assessment.
Partner decisions and exit
The agreements should explain decision authority, reporting, disputes, transfers, distributions and exit mechanisms. Property interests may be difficult to sell quickly. A proposed exit route is not a promise that a buyer or funding will be available.
